ITEM 5.07 Submission of Matters to a Vote of Security Holders The Fiscal 2010 Annual Meeting of the Shareholders of The InterGroup Corporation (the "Company") was held on February 23, 2011 at the Hilton San Francisco Financial District, 750 Kearny Street, San Francisco, California. At that meeting, Gary N. Jacobs and William J. Nance were elected as Class B Directors, to serve three year terms expiring at the Fiscal 2013 Annual Meeting of Shareholders. Directors Josef A. Grunwald, John C. Love and John V. Winfield continue their terms as the Company's other directors. At the Annual Meeting, the shareholders also voted in favor of the ratification of the Audit Committee's selection of Burr Pilger Mayer, Inc. as the Company's independent registered public accounting firm for the fiscal year ending June 30, 2011. In addition the shareholders also approved, in a non-binding vote, the compensation of the Company's named executive officers and voted for three years as the frequency that a shareholder vote to approve the compensation of the Company's named executive officers should be held.
