ITEM 8.01   OTHER EVENTS

On February 17, 2011 the registrant entered into an agreement with
GeoXplor Corporation for its March drilling program on its Paymaster
property in Nevada.  Pursuant to the drilling agreement, the registrant
shall pay a total of $155,125 for the services of GeoXplor.
