Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement with Certain Officers.
(b) Each of Catherine M. Klema and John A. McNeill, Jr., members of the Company’s Board of Directors, has informed the Company that they do not intend to stand for re-election as a director upon the expiration of their terms at the Company’s 2011 Annual Meeting of Shareholders. Ms. Klema has served as a director of the Company since 2000, and Mr. McNeill since 1989. The Company thanks them for their years of service.
