Item 2.02		RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On February 23, 2011, Global Industries, Ltd. (the “Company”) issued a press release (the “Initial Release”) announcing its operating results for the three and twelve months ended December 31, 2010. On February 24, 2011, the Company issued a corrected press release (the “Corrected Release”) to include a description of an income tax valuation allowance related to the Company’s Mexico operations. A copy of the Corrected Release which supersedes the Initial Release is attached as Exhibit 99.1 to this Report and incorporated into this Item 2.02.

The information under Item 2.02 and in Exhibit 99.1 in this Form 8-K is being furnished and shall not be deemed “filed” for the purpose of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section.
