(b) Director resignation:
On February 16, 2011, WesBanco received from Robert M. D’Alessandri, MD a letter of resignation from WesBanco’s Board of Directors. The resignation is effective immediately and did not occur as a result of any disagreement with the Company. Dr. D’Alessandri relocated from the Company’s market area and is the CEO, President and Dean of the Commonwealth Medical College in Scranton, Pennsylvania. His service on the Board began in 2007.
