Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On January 24, 2011, Princeton National Bancorp, Inc. (the “Company”) announced the appointment of Donald Miskowiec as a director of the Company and Citizens First National Bank to be effective February 3, 2011. Mr. Miskowiec currently serves as the Chief Executive Officer of North Central Behavioral Health Systems. Contrary to the January 24, 2011 announcement, Mr. Miskowiec informed the Company on February 14, 2011 that due to recent unpredicted changes in his work commitments which will significantly increase the time Mr. Miskowiec will be required to devote to his business, he will not have the availability, to the degree he would like, to support the bank and the Company through the efforts of the Board of Directors.
