Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 29, 2010, Penn Virginia Corporation (the “Company”) filed a Current Report on Form 8-K reporting under Item 5.02 thereto that Steven W. Krablin had been elected to the Company’s Board of Directors (the “Board”). The Current Report on Form 8-K did not include any committees of the Board to which Mr. Krablin was appointed because the information was not determined at that time.

The Company is filing this Current Report on Form 8-K/A to report that on February 17, 2011, the Board appointed Mr. Krablin to the Audit Committee and the Compensation and Benefits Committee.
