Item 8.01 Other Events.
On February 17, 2011, the Registrant completed its initial public offering through the sale of 600,000 shares of common stock, resulting in gross proceeds of $60,000.
Our Registration Statement on Form S-1 (File No. 333-167607), related to our initial public offering, was declared effective by the SEC on September 22, 2010. A total of 600,000 shares of common stock were registered with the SEC with an aggregate offering price of $60,000. All of these shares were registered on our behalf.
