      On February 14, 2011, Honeywell International Inc. (the “Company”) issued a press release announcing that it has commenced a cash tender offer for any and all of its $400 million aggregate principal amount of 5.625% notes due 2012. A copy of the press release is furnished herewith as Exhibit 99.1.

      On February 14, 2011, the Company issued a press release announcing that it has commenced an offering of its $800 million 4.250% Senior Notes due 2021 and $600 million 5.375% Senior Notes due 2041. A copy of the press release is furnished herewith as Exhibit 99.2.
