Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 8, 2011, Shirley J. Daniel, 57, a director since 2002, has decided to resign from the HEI Board of Directors and the HEI Audit Committee, effective at the time of the Annual Meeting of Shareholders of HEI on May 10, 2011. There is no disagreement between the registrant and Ms. Daniel; the latter has decided to resign due to personal business interests. Ms. Daniel will continue to serve the Company as a member of the ASB Board of Directors and the ASB Audit Committee.
HEI intends to continue to use its website, www.hei.com, as a means of disclosing additional information. Such disclosures will be included on HEI’s website under the headings “Company Overview” and “News & Events” in the Investor Relations section. Accordingly, investors should routinely monitor such portions of HEI’s website, in addition to following HEI’s, Hawaiian Electric Company, Inc. and its subsidiaries’ and ASB’s press releases, SEC filings and public conference calls and webcasts.
