Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 9, 2011 Mr. Malcolm C. Davenport V resigned as a member of the Board of Directors of International Paintball Association, Inc. Mr. Davenport had been a member of our Board since April 2009. Mr. Davenport resigned for personal reasons and there was no disagreement between our company and Mr. Davenport on any matter related to our operations, policies or procedures.
