of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On
February 4, 2011, Larry Schafran submitted his resignation from the Board of Directors
of America’s Suppliers, Inc., effective immediately. Mr. Schafran resigned from our
Board to pursue other professional opportunities and not because of any disagreement
with the company relating to its operations, policies or practices.
Replacing
Mr. Schafran as Audit Committee Chair will be current Board member Vincent
Pino.
