Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
On February 3, 2011, Motorcar Parts of America, Inc. (the “Registrant”) issued a press release
announcing a strategic realignment of three of its senior sales executives. Rick Mochulsky has been
appointed the new Vice President of Sales and previously was Vice President of Traditional Sales.
Tom Stricker has been appointed Vice President of Business Development, a newly established
position. Mr. Stricker was previously the Registrant’s Vice President of Sales. Ron Lacombe has
been appointed the new Vice President of Traditional Sales and was previously a Director of
Traditional Sales.

incorporated herein by reference.
