Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On January 31, 2011, the Compensation Committee of the Board of Directors of Star Scientific, Inc. (the “Company”), approved a stock option award agreement with David M. Dean, the Company’s Vice President of Sales and Marketing, pursuant to which the Company granted Mr. Dean non-qualified stock options under the Company’s 2008 Incentive Award Plan to purchase up to 350,000 shares of the Company’s common stock, par value $.0001 (“Common Stock”), at an exercise price of $2.00 per share (the “Option Award”). The options granted under the Option Award are fully vested and exercisable as of January 31, 2011 and will expire on January 31, 2021. Mr. Dean previously held non-qualified options to purchase up to 350,000 shares of Common Stock at $4.00 per share, which options expired in October 2010.
