Item 8.01. Other Events.
On February 4, 2011, LTX-Credence Corporation (the “Company”) issued a press release announcing that the U.S. Department of Justice and Federal Trade Commission granted early termination of the waiting period under the Hart-Scott Rodino Antitrust Improvements Act of 1976 with respect to the proposed merger of the Company with Verigy, Ltd.
A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
