Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 2, 2011, Adolfo Henriques resigned as Director of Boston Private Financial Holdings, Inc. (the “Company”) effective immediately. Mr. Henriques will be taking a management position with a bank. Mr. Henriques' resignation does not arise from any disagreement with the Company on any matter relating to the Company's operations, policies or practices. Mr. Henriques has been a valued member of the Company's Board of Directors, serving as Chair of the Audit Committee and as a member of the Finance Committee.
