Explanatory Note
China Organic Agriculture, Inc. (the “Company”) is filing this amendment to correct the misspelling of the name of its new independent registered public accountants in the Form 8-K filed on January 25, 2011.
Item 4.01. Changes in Registrant's Certifying Accountant.
(b) New Independent Registered Public Accountants.
On January 24, 2010, the Company engaged Patrizio & Zhao, LLC as its new independent registered public accounting firm to audit and review the Company’s consolidated financial statements for the fiscal year ended December 31, 2010. The engagement of Patrizio & Zhao, LLC was approved by the Company’s Board of Directors. During the two (2) most recent years ended December 31, 2010 and 2009, and any subsequent period through the date hereof prior to the engagement of Patrizio & Zhao, LLC, neither the Company, nor someone on its behalf, has consulted Patrizio & Zhao, LLC regarding:

the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s consolidated financial statements; or

(ii)
|
any matter that was either the subject of a disagreement as defined in paragraph 304(a)(1)(iv) of Regulation S-K or a reportable event as described in paragraph 304(a)(1)(v) of Regulation S-K.
