(d) On January 19, 2011, the board of directors of the Registrant appointed James Schrecongost as a director of the Registrant. Mr. Schrecongost was appointed to the class of directors whose term is scheduled to expire at the Registrant's annual meeting of stockholders to be held in 2013. Mr. Schrecongost has more than 20 years of senior and executive-level banking experience in Muncie, Indiana.Pursuant to the requirements of the Securities Exchange Act of 1934, the registrant has duly caused this Report to be signed on its behalf by the undersigned thereunto duly authorized.
