7.01. Regulation FD Disclosure.
On
January 24, 2011, Harris & Harris Group, Inc. (the “Company”) issued a press
release disclosing that Amgen (NASDAQ: AMGN) and BioVex Group, Inc., had
announced that the companies have entered into a definitive acquisition
agreement under which Amgen has agreed to acquire BioVex Group. The
Company is an investor in privately held BioVex Group. The
transaction is subject to customary closing conditions, including regulatory
approvals, and is expected to close in the first quarter of 2011. A copy of the
Company's press release issued January 24, 2011, is attached as Exhibit
99.1.
