On January 19, 2011, Bucyrus International, Inc. (the “Company”) issued a press release announcing that, on the same day, Caterpillar Inc. (“Caterpillar”) and the Company each received a request for additional information from the Antitrust Division of the United States Department of Justice in connection with the process under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, with respect to the previously announced acquisition of the Company by Caterpillar. The press release announcing the receipt of the request for additional information is filed herewith as Exhibit 99.1 and incorporated by reference herein.
