ITEM 8.01. OTHER EVENTS.

On January 10, 2011, Progress Energy, Inc., a North Carolina corporation (“Progress Energy”), and Duke Energy Corporation, a Delaware corporation (“Duke Energy”), issued a joint press release announcing that they had entered into an Agreement and Plan of Merger, dated as of January 8, 2011, by and among Progress Energy, Duke Energy and Diamond Acquisition Corporation, a North Carolina corporation and wholly-owned subsidiary of Duke Energy (“Merger Sub”), pursuant to which Merger Sub will be merged with and into Progress Energy, with Progress Energy continuing as the surviving corporation and a wholly-owned subsidiary of Duke Energy (the “Merger”). A copy of such press release is attached hereto as Exhibit 99.1. In addition, Progress Energy and Duke Energy will be providing supplemental information regarding the Merger in connection with a presentation to analysts and investors. The slides to be used in connection with this analyst and investor presentation are attached hereto as Exhibits 99.2.

The information required by Item 1.01, including a copy of the Agreement and Plan of Merger will be filed in a separate Current Report on Form 8-K.
