Item 2.02. Results of Operations and Financial Condition.
On January 10, 2011, Ardea Biosciences, Inc. (the “Company”) reported certain financial information
for the year ended December 31, 2010. A copy of the press release containing the financial
information is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

On January 10, 2011, the Company issued the press release that is furnished as Exhibit 99.1 to this
Current Report on Form 8-K and that is incorporated by reference into this Item announcing that the
Company has earned a $15 million milestone payment from Bayer HealthCare AG under the terms of
their April 2009 global license agreement to develop and commercialize Ardea’s mitogen-activated
ERK kinase inhibitor compounds for cancer and other indications.
