Resignation
of Officers
On
January 4, 2011, Terry Fields resigned from his position as Chief Financial
Officer of GoEnergy, Inc. (the “Company”). His resignation was not
the result of any disagreements with the Company on any matter relating to the
Company’s operations, policies or practices. A copy of Mr. Fields’
resignation letter is attached hereto as Exhibit 17.1 and incorporated herein in
its entirety by reference. The Company is in the process of seeking
qualified candidates for Chief Financial Officer.
