Item 8.01.   Other Events.
     On January 6, 2011, the shareholders of Voltaire Ltd. (“Voltaire”) voted at a special general meeting of shareholders to approve the Agreement of Merger (the “Merger Agreement”), dated as of November 29, 2010, by and among Mellanox Technologies, Ltd. (the “Company”), Voltaire and Mondial Acquisition Corporation Ltd., a company formed under the laws of Israel and a wholly owned subsidiary of the Company (“Merger Sub”), and all other transactions contemplated under the Merger Agreement. Pursuant to the Merger Agreement, Merger Sub will be merged with and into Voltaire (the “Merger”), with Voltaire continuing after the Merger as the surviving corporation and a wholly owned subsidiary of the Company.
     Subject to the satisfaction or waiver of the closing conditions set forth in the Merger Agreement, the Company expects the merger to be completed in the first quarter of 2011. Following the closing of the Merger, Voltaire’s shareholders will receive $8.75 per share in cash, without interest and less any applicable withholding tax, for each Voltaire ordinary share held by them.
