ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
Effective January 1, 2011, Flagstone Reinsurance Holdings, S.A. (the “Company”) modified the compensatory arrangements with respect to each of the following Named Executive Officers (“NEO”):

Mr. Patrick Boisvert

Mr. Gary Prestia

Mr. Guy Swayne
|
The compensatory arrangements with respect to each of the above-referenced NEOs were modified so that the cap on the amount of annual bonus that may be paid to such NEOs increased to 90% of annual base salary. All other terms and conditions of employment for such NEOs remain unchanged.
