Item 5.02. Departure of Directors or Principal Officer; Election of Directors.
Effective on December 31, 2010, the Company’s Board of Directors accepted the resignation of Alan M. Pearce from his employment with the Company, including his position as the Chief Financial Officer of the Company, and the Company entered into an agreement with Mr. Pearce as to all matters of compensation and other details of the separation. Mr. Pearce’s resignation applies to his employment in all subsidiaries of the Company as well. The resignation described above was as a result of Mr. Pearce’s voluntary retirement and did not result from any disagreement with the Company known to an executive officer of the Company on any matter relating to the Company’s operations, policies or practices.
