Item 2.01 — Completion of Acquisition or Disposition of Assets

 

On December 31, 2010, Protective Life Insurance Company (“Protective Life”), a wholly-owned subsidiary of Protective Life Corporation (“Protective”, or “our”), completed the acquisition contemplated by the stock purchase agreement previously reported in our Current Report on Form 8-K dated September 17, 2010.  Pursuant to that agreement with Torchmark Corporation (“Torchmark”) and its wholly-owned subsidiaries, Liberty National Life Insurance Company (“Liberty National”) and United Investors Life Insurance Company (“United Investors”), Protective Life purchased from Liberty National the stock of United Investors.  The aggregate purchase price for United Investors was $342.9 million, including $156.9 million of adjusted statutory capital and surplus.  The purchase price is also subject to post-closing adjustment payments from Liberty National or Protective Life, as the case may be, to reflect the final adjusted book value of United Investors.  This description of the stock purchase agreement is not complete and is qualified in its entirety by reference to the full text of the agreement, which was filed as Exhibit 2.01 to our current Report on Form 8-K dated September 17, 2010, and is incorporated by reference herein.
