Item 8.01   Other Events.
On January 3, 2011, Medco Health Solutions, Inc. (the “Company” or “Medco”) issued a press release reporting that it has received notice of termination, effective December 31, 2011, of its Medicare Part D prescription benefits management agreement with MemberHealth, LLC, a subsidiary of Universal American. A copy of the press release is attached to this Current Report on Form 8-K (“Current Report”) as Exhibit 99.1 and is incorporated by reference herein.
