Item 7.01 Regulation FD Disclosure.

On December 30, 2010, management of Tower Bancorp, Inc. (“Tower”) will inform employees of the American Home Bank division (the “AHB Division”) of Graystone Tower Bank and certain unaffiliated third parties, including vendors, of Tower’s intent to completely discontinue the mortgage-banking activities associated with the AHB Division within 90 to 120 days of January 1, 2011. The AHB Division was acquired by Tower by virtue of its merger acquisition of First Chester County Corporation and First National Bank of Chester County, which was completed on December 10, 2010.

Tower also will inform AHB Division employees that, in connection with the discontinuation of the activities associated with the AHB Division, it continues to pursue a potential sale of the division.
