On December 29, 2010, David Valentine notified the Board of Directors of the Company (the “Board”) of his decision to resign from the Board effective December 31, 2010, for personal reasons.  Mr. Valentine served as the Chairman of the Board’s Compensation Committee and as a member of its Audit Committee.
