Item 8.01. Other Events.
Education Management Corporation (the “Company”) announced today that its subsidiary, Stauzenberger College Education Corporation (“Stauzenberger”), which owns Brown Mackie College locations in Louisville and Hopkinsville Kentucky, along with another location in Ohio, received a subpoena from the Office of Consumer Protection of the Attorney General of the Commonwealth of Kentucky requesting documents and detailed information for the time period of January 1, 2008 through December 31, 2010. The Company operates a third Brown Mackie College in Fort Mitchell, Kentucky which is not owned by Stauzenberger.
The Kentucky Attorney General previously announced an investigation of the business practices of for-profit postsecondary schools and that subpoenas had been issued to six proprietary colleges that do business in Kentucky in connection with the investigation.
The Company is evaluating the subpoena and intends to cooperate with the investigation.
The information in Item 8.01 of this Form 8-K shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in such filing.
