Mr. Fergal Foley resigned as a member of
the Board of Directors of American Defense Systems, Inc. (“Company ”)
effective December 10, 2010. Mr. Foley’s resignation is
not the result of any disagreement between Mr. Foley and the Company on any
matter relating to the Company’s operations, policies or
practices.
