8.01 Other Events.
On December 14, 2010,
XsunX, Inc., a Colorado corporation (the “Company”) released a
letter to shareholders (the “Shareholder Newsletter”) providing progress
information to the Company efforts to develop a new hybrid manufacturing
technology for the mass production of Copper Indium Gallium (di) Selenide (CIGS)
thin film solar cells. The Shareholder Newsletter provides information regarding
the Company’s development of a thermal co-evaporation crucible that employs
the use of new material types, heating techniques, and nozzle configuration that
the Company believes provide the next step in technological improvement
necessary to achieve higher efficiency potentials for CIGS thin film. A copy of
the Shareholder Newsletter is attached hereto as Exhibit 99.1 and is
hereby incorporated by reference into this Item 8.01.
