Item 8.01   Other Events
     On December 10, 2010, Pride entered into an agreement with Samsung Heavy Industries Co., Ltd. for the construction of an advanced-capability, ultra-deepwater drillship. Following shipyard construction, commissioning and testing, the drillship is expected to be delivered to Pride at the shipyard in mid-2013. The agreement provides for an aggregate fixed purchase price of $544 million, subject to adjustment for delayed delivery, payable in installments during the construction process. Pride has the right to rescind the agreement for delays exceeding certain periods and for failure of the drillship to meet certain operating requirements or, alternatively, the right to liquidated damages from Samsung for such delays or failures.
