Item 8.01               Other Events.

 

In December 2010, in Case No. CGC-07-460147 in the Superior Court of California for the County of San Francisco, Overstock.com and other plaintiffs entered into a settlement with certain defendants in the aggregate amount of $4.44 million, the terms of which are confidential.  The action is continuing against the remaining defendants.

 

Overstock.com and the other plaintiffs initially filed this case against certain prime brokerage firms on February 2, 2007.
