Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 10, 2010, in response to a recommendation by the Compensation Committee of the Board of Directors, the Board of Directors increased the number of shares of the Company’s Common Stock reserved and authorized for issuance pursuant to the 2006 Equity Incentive Plan by 160,000 shares to 1,200,000 shares in the aggregate.
