Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(c)(e) SUPERVALU INC. (the "Company") announced on December 9, 2010 that Sherry M. Smith has been appointed as the Company’s Executive Vice President and Chief Financial Officer effective December 13, 2010. Ms. Smith, age 49, has been serving as the Company’s interim Chief Financial Officer since July 30, 2010 and previously served as the Company’s Senior Vice President, Finance from 2002 to July 30, 2010. During the period 2002-2005, she was also the Treasurer of the Company.
In connection with Ms. Smith’s appointment to Executive Vice President and Chief Financial Officer, Ms. Smith will receive annual base compensation of $580,000 and will be eligible to receive an annual bonus under the Company’s annual cash incentive plan for fiscal 2011 with a target amount of 100% of her base salary, prorated from the effective date of her appointment. Ms. Smith is not a party to any transaction with the Company or any subsidiary of the Company and has no family relationships with any member of the Board of Directors or any other executive officer of the Company.
