Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On December 2, 2010, The Timberland Company (the “Company”) appointed André J. Hawaux to its Board of Directors (the “Board"), effective December 2, 2010. The Company has not yet determined on which committees of the Board, if any, Mr. Hawaux will serve. Mr. Hawaux will receive compensation as a non-employee director in accordance with the Company’s non-employee director compensation practices described in the Company’s Annual Proxy Statement filed with the Securities and Exchange Commission on March 30, 2010 under the heading “Directors’ Compensation — Additional Information to Understand the Directors’ Compensation Table,” which is incorporated herein by reference.

     A copy of the news release announcing the event described above is attached as Exhibit 99.1 and is incorporated herein by reference.
