On November 30, 2010, First PacTrust Bancorp, Inc., the holding company for Pacific Trust Bank (the "Bank"), issued the press release attached hereto as Exhibit 99.1, and incorporated herein by reference, announcing the hiring of Chang Liu as Chief Lending Officer of the Bank.

EXPLANATORY NOTE
The primary purpose of this amendment on Form 8-K/A is to correct certain information in the original Form 8-K filed on November 30, 2010 (the “Original
Form 8-K”) regarding the option exercise price specified in paragraph 5 of the press release. This Form 8-K/A amends and restates the Original Form 8-K in its entirety.
