Item 3.01.
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
 
On November 22, 2010, China INSOnline Corp. (the “Company”) received a decision from The Nasdaq Stock Market (the “Nasdaq”) stating that a Nasdaq Hearings Panel (the "Panel") had denied the Company's request for continued listing on the Nasdaq and would suspend trading, effective November 24, 2010, and subsequently delist the Company's securities. The Panel's decision is based on Listing Rule 5101 which grants the Nasdaq broad discretion to delist the securities of shell companies. Since June 2010, the Company has been a public shell company.
