Item 8.01 Other Events.
On November 16, 2010, Health Care REIT, Inc. (the “Company”) sold $450,000,000 aggregate principal amount of 4.950% senior notes of the Company due 2021 (the “Notes”) pursuant to an automatic shelf registration statement of the Company on Form S-3 (File No. 333-159040) filed with the Securities and Exchange Commission on May 7, 2009. The Notes were sold pursuant to a firm commitment underwriting agreement, dated as of November 10, 2010, between the Company and Merrill Lynch, Pierce, Fenner & Smith Incorporated, Credit Agricole Securities (USA) Inc., Deutsche Bank Securities Inc. and UBS Securities LLC (the “Underwriting Agreement”).
The Notes were issued under an Indenture between the Company and The Bank of New York Mellon Trust Company, N.A., as trustee (the “Trustee”), dated as of March 15, 2010 (the “Indenture”), as supplemented by Supplemental Indenture No. 4 between the Company and the Trustee, dated as of November 16, 2010 (the “Supplemental Indenture”). The Notes bear interest at a rate of 4.950% per year, payable semi-annually in arrears on January 15 and July 15 of each year, commencing July 15, 2011. The Notes mature on January 15, 2021.
