Item 8.01. OTHER EVENTS
CAS Medical Systems, Inc. (“CASMED”) announced today that a settlement was reached with Nellcor Puritan Bennett, LLC, a successor in interest to Somanetics Corporation, on Somanetics’ action for patent infringement and other claims against CASMED in the United States District Court for the Eastern District of Michigan, styled Somanetics Corporation v. CAS Medical Systems, Inc., Civil Action No. 2:09-cv-13110. The terms of the confidential settlement resolved all matters between the two parties as of the initiation of the lawsuit and caused the dismissal of the action with prejudice in a manner by which no payments are made by either party.
