8.01. Other Events.
On
October 27, 2010, Intellect Neurosciences, Inc. (OTCBB: ILNS) and two of its
significant shareholders executed a non-binding letter of intent containing the
material terms of proposed additional funding to be provided by such
shareholders to Intellect. The contemplated transactions are subject to
negotiation and execution of definitive agreements and there can be no assurance
that the transaction will be consummated. A copy of the letter of
intent is attached hereto as Exhibit 99.1 and is incorporated herein in its
entirety by reference.
