Momentive Specialty Chemicals Inc. (the “Registrant” and together with its subsidiaries, “MSC”) previously announced, pursuant to Rule 135c of the Securities Act of 1933, as amended, MSC’s intent to offer $440,000,000 aggregate principal amount of second-priority senior secured notes due 2020 (the “Notes”) through a private placement.

The Registrant is disclosing under Item 7.01 of this Current Report on Form 8-K the information attached to this report as Exhibit 99.1, which information is incorporated by reference herein. This information, which has not been previously reported, is excerpted from a preliminary offering circular that is being disseminated in connection with the offering of the Notes.

The Registrant is furnishing the information under this Item 7.01 in this Current Report on Form 8-K to comply with Regulation FD.
