(b) On October 18, 2010, Timothy V. Williams notified Blackbaud, Inc. that he is resigning as Chief Financial Officer and Senior Vice President of Finance & Administration effective once a replacement is hired in 2011. His resignation was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, but rather was due to Mr. Williams’ desire to retire within the next year.
A press release dated October 20, 2010 announcing Timothy V. Williams’ resignation is attached as Exhibit 99.1
