Item 8.01. Other Events.
On October 15, 2010, H&R Block, Inc. and certain of its subsidiaries filed a complaint in the United States District Court for the Eastern District of Missouri (Eastern Division) for injunctive relief against HSBC Bank USA, National Association and certain of its affiliates (collectively, “HSBC”) seeking to require HSBC to perform its contractual obligations under the HSBC Retail Settlement Products Distribution Agreement, dated as of September 23, 2005, as amended.
