Item 8.01	Other Events.
On October 12, 2010, Pfizer Inc. ("Pfizer") issued a press release, announcing the execution of an Agreement and Plan of Merger, dated as of October 11, 2010, by and among Pfizer, Parker Tennessee Corp., a wholly-owned subsidiary of Pfizer and King Pharmaceuticals, Inc. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
