On October 12, 2010, OMNOVA Solutions Inc. (the “Company”) announced that it intends to offer to sell $250 million aggregate principal amount of senior notes in an offering exempt from the registration requirements of the Securities Act of 1933. Pursuant to Rule 135c of the Securities Act, the Company is filing herewith the press release issued October 12, 2010 as Exhibit 99.1 hereto.
The senior notes to be offered will not be and have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
