Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On September 23, 2010, the Board of Directors ("Board") of the Federal Home Loan Bank of Topeka ("FHLBank") approved amendments to FHLBank’s Bylaws. Such amendments became effective on the same date.

The amendments revise Section 6.4 Removal and Resignation to state that the Chief Risk Officer may only be removed from office by the risk oversight committee of the Board. In addition, the amendments removed the last sentence of Section 4.12 Effect of Expiration of Term that previously stated "Such election shall be conducted in accordance with Section 4.6 and/or 4.7 of these Bylaws," as it was determined that sentence was unnecessary.

A copy of FHLBank’s amended Bylaws is attached hereto as Exhibit 3.2 and is incorporated herein by reference.





Item 7.01 Regulation FD Disclosure.

On September 23, 2010, FHLBank sent a message to its members announcing the declaration of a dividend for the quarter ended September 30, 2010. A copy of the message is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
