Ladies and Gentlemen:

We have served as Maryland counsel to Sara Lee Corporation, a Maryland corporation (the “Company”), in connection with certain matters of Maryland law arising out of the sale and issuance by the Company of $400,000,000 aggregate principal amount of 2.75% Notes due 2015 (the “Notes due 2015”) and $400,000,000 aggregate principal amount of 4.10% Notes due 2020 (the “Notes due 2020” and, together with the Notes due 2015, the “Notes”), covered by the above-referenced Registration Statement, and all amendments thereto (the “Registration Statement”), filed with the United States Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Act”). The Notes will be issued by the Company pursuant to a Pricing Agreement, dated August 30, 2010 (the “Pricing Agreement”), by and among the Company and the representatives of the several underwriters named in Schedule I thereto (together, the “Underwriters”). Capitalized terms used but not defined herein shall have the meanings given to them in the Registration Statement.

In connection with our representation of the Company, and as a basis for the opinion hereinafter set forth, we have examined originals, or copies certified or otherwise identified to our satisfaction, of the following documents (collectively, the “Documents”):

2. The charter of the Company, certified by the State Department of Assessments and Taxation of Maryland (the “SDAT”);

3. The Bylaws of the Company, certified as of the date hereof by an officer of the Company;

4. Resolutions adopted by the Board of Directors of the Company, and a duly authorized committee thereof, relating to, among other things, (i) the sale, issuance and registration of the Notes, including the price thereof, and (ii) the execution, delivery and performance of the Pricing Agreement, certified as of the date hereof by an officer of the Company;

8. The Indenture (the “Indenture”), dated as of October 2, 1990, between the Company and The Bank of New York Mellon Trust Company, N.A. (as successor to Continental Bank, N.A.), as trustee, certified as of the date hereof by an officer of the Company; and

9. Such other documents and matters as we have deemed necessary or appropriate to express the opinion set forth in this letter, subject to the assumptions, limitations and qualifications stated herein.
